1. Use of Services and Content
Veil Group, LLC ("Veil") provides access to veilgrp.com and related digital services (the "Services") subject to these Terms. By using the Services, you represent and warrant that you are at least eighteen (18) years old, or the age of majority in your jurisdiction, and legally capable of entering into binding agreements.
Veil grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services strictly for personal or authorized business purposes. This license does not include the right to:- Copy, reproduce, or distribute content except as expressly permitted in writing by Veil.
- Modify, adapt, or create derivative works from any portion of the Services.
- Reverse engineer, decompile, or otherwise attempt to extract source code from the Services.
- Use automated means, including bots, crawlers, or scrapers, to access the Services without Veil's prior written consent.
- Use the Services in any way that interferes with or disrupts the functionality. security, or integrity of the Services or any related systems.
All materials made available through the Services, including but not limited to text, graphics, designs, logos, icons, software, and other content (collectively, "Content"), are owned by Veil or its licensors and are protected by intellectual property and other applicable laws. Except as expressly authorized, you may not use, copy, display, transmit, or distribute any Content without Veil's prior written consent.
If the Services permit you to submit or upload information, data, or other content, you remain responsible for such material. By providing content, you grant Veil a non-exclusive, worldwide, royalty-free, transferable license to use, store, display, reproduce, and distribute such content solely as necessary to operate the Services. You represent and warrant that you have the rights to provide such content and that doing so does not violate applicable law or infringe the rights of third parties.
While Veil's operations are based in the United States and services are managed directly through Veil personnel, you acknowledge that certain third-party service providers (such as hosting, infrastructure, or software vendors) may be used in connection with the Services. Veil remains responsible for reasonable oversight of such providers but does not guarantee that data will never be processed outside the United States.
2. Termination and Enforcement
Veil reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to the Services at any time and without prior notice if:
- You violate these Terms or any applicable laws or regulations.
- You engage in conduct that may harm Veil, its clients, or other users of the Services.
- You attempt unauthorized access to Veil's systems, data, or networks.
- You misuse intellectual property, post unlawful or harmful content, or otherwise interfere with the integrity or security of the Services.
Veil also reserves the right to investigate suspected violations and cooperate with law enforcement authorities or third parties as legally required. Such cooperation may include disclosing user information consistent with our legal obligations and Privacy Policy.
Termination of your access does not relieve you of any obligations or liabilities incurred prior to termination, including indemnification obligations and limitations on liability. Veil shall not be liable to you or to any third party for termination, restriction, or suspension of access to the Services.
3. Disclaimers and Limitation of Liability
Disclaimers
The Services are provided on an "as is" and "as available" basis. Veil Group, LLC ("Veil") makes no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or reliability of the Services or any content made available through them.
Veil does not warrant that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components. Any use of the Services is at your own risk, and you are solely responsible for implementing safeguards (such as anti-virus software and data backups) appropriate to your needs.
Nothing provided through the Services constitutes legal, financial, medical, cybersecurity, or other professional advice. The information made available is for general informational purposes only. Reliance on such information is at your own risk, and professional advice should be obtained under a separate written agreement with Veil or another qualified professional.
Veil further disclaims any representation, warranty, or guarantee regarding the timeliness, accuracy, or completeness of breach detection, reporting metrics, or related information referenced on the Services. Any statistics, timelines, or performance data are provided for informational purposes only and do not create binding obligations.
While Veil may provide Services or guidance intended to assist with compliance obligations (including, without limitation, HIPAA, GDPR, and other applicable laws or frameworks), responsibility for compliance with all legal and regulatory requirements remains solely with the client. Veil does not represent or warrant that the Services alone will achieve or maintain compliance for any organization.
Limitation of Liability
To the fullest extent permitted by law, Veil, its officers, directors, employees, contractors, agents, affiliates, and licensors shall not be liable for:
- Any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, data loss, business interruption, or goodwill, arising from or related to your use of the Services.
- Any damages resulting from reliance on information or materials made available through the Services.
- Unauthorized access to or alteration of your transmissions, data, or content, unless directly caused by Veil's gross negligence or willful misconduct.
If, despite these limitations, Veil is found liable for damages, Veil's total aggregate liability to you for any claims arising out of or related to these Terms or your use of the Services shall not exceed one hundred U.S. dollars ($100) or the amount you paid (if any) to Veil for access to the Services during the twelve (12) months preceding the claim, whichever is greater.
4. Indemnification
You agree to defend, indemnify, and hold harmless Veil Group, LLC ("Veil"), along with its officers, directors, employees, contractors, agents, affiliates, and licensors, from and against any and all claims, demands, actions, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Services;
- Your violation of these Terms or any applicable law or regulation;
- Your infringement, misappropriation, or violation of the rights of a third party, including intellectual property, privacy, or contractual rights;
- Content, data, or materials that you upload, submit, or otherwise provide through the Services.
Veil reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. If this occurs, you agree to cooperate with Veil in the defense of such claims, including providing information and testimony reasonably requested.
This obligation to indemnify will continue even after your access to the Services has ended and will survive termination of these Terms.
5. Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or relating to them or your use of the Services, shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the state or federal courts located in Travis County, Texas. You consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue, including objections based on forum non conveniens.
Before initiating litigation, you agree to first attempt to resolve disputes informally by providing written notice to Veil and allowing thirty (30) days for resolution. If the matter cannot be resolved within that period, either party may pursue relief in the designated courts.
Nothing in this Section prevents Veil from seeking injunctive or equitable relief in any jurisdiction where such relief is necessary to protect its rights, intellectual property, or confidential information.
6. Modifications, Severability, and Entire Agreement
Modifications
Veil Group, LLC ("Veil") may revise or update these Terms at any time by posting the revised Terms on the Services. Changes are effective immediately upon posting, unless otherwise specified. By continuing to use the Services after revisions are posted, you accept the updated Terms. Veil is not obligated to provide individualized notice of modifications, and it is your responsibility to review the Terms periodically.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms, together with any other legal notices or policies referenced herein (including Veil's Privacy Policy), constitute the entire agreement between you and Veil with respect to the Services and supersede all prior or contemporaneous communications, understandings, or agreements, whether written or oral, relating to the Services.
